DISSEMINATION OF CORPORATE COMMUNICATIONS

Pursuant to the Rule 2.07A of the Rules Governing the Listing of Securities (the “Listing Rules”) on The Stock Exchange of Hong Kong Limited (the “Stock Exchange”) and the articles of association of Country Garden Holdings Company Limited (“COUNTRY GARDEN”), COUNTRY GARDEN will disseminate its corporate communications (the “Corporate Communications”) to the registered holders of its securities (the “Registered Holders”) electronically, subject to the following arrangements and exceptions that will come into effect immediately.

ARRANGEMENTS

1. CORPORATE COMMUNICATIONS

“Corporate Communication(s)” refer to any document(s) issued or to be issued by COUNTRY GARDEN for the information or action of holders of any of its securities or the investing public, including but not limited to, (i) the directors’ report and its annual accounts together with a copy of the auditors’ report and, where applicable, its summary financial report; (ii) the interim report and, where applicable, its summary interim report; (iii) a notice of meeting; (iv) a listing document; (v) a circular; and (vi) a proxy form.

Both the English and Chinese versions of the Corporate Communications of COUNTRY GARDEN will be available on the website of COUNTRY GARDEN (www.countrygarden.com.cn) and the HKEXnews website of the Stock Exchange (www.hkexnews.hk) (the “Website Version”).

2. ACTIONABLE CORPORATE COMMUNICATIONS

“Actionable Corporate Communications” refer to any Corporate Communications that seek instructions from the Company’s securities holders on how they wish to exercise their rights or make elections as the Company’s securities holders. For the avoidance of doubt, Actionable Corporate Communications do not include notices of general meetings and proxy forms.

COUNTRY GARDEN will send the Actionable Corporate Communications to Registered Holders individually in electronic form by email. If COUNTRY GARDEN does not possess an email address of a Registered Holder or the email address provided is not functional, COUNTRY GARDEN will send the Actionable Corporate Communications in printed form together with a Request Form for soliciting the Registered Holder’s functional email address to facilitate electronic dissemination of Actionable Corporate Communications in the future.

It is the responsibility of a Registered Holder to provide an email address that is functional. If COUNTRY GARDEN does not possess an email address of a Registered Holder or the email address provided is not functional, COUNTRY GARDEN will act according to the above arrangements. COUNTRY GARDEN will be considered to have complied with the Listing Rules if it sends Actionable Corporate Communications to the email address provided by a Registered Holder without receiving any “non-delivery message”.

REQUEST FOR PRINTED COPY OF CORPORATE COMMUNICATIONS AND ACTIONABLE CORPORATE COMMUNICATIONS

If a Registered Holder wishes to 

l receive a printed copy of the latest published Corporate Communications and Actionable Corporate Communications; or

l continue to receive future Corporate Communications and Actionable Corporate Communications issued by COUNTRY GARDEN (up to the time when COUNTRY GARDEN publishes its next annual report in the following year) in printed form,

the Registered Holder may complete and submit the relevant Request Form to COUNTRY GARDEN’s share registrar (see the section headed “Election of Language and Means of Receipt of Corporate Communications and Actionable Corporate Communications” below for details).  

For beneficial holders of securities of the Company (the “Non Registered Holders”) who wish to receive printed copy of Corporate Communications in the future, they should liaise with their intermediary or HKSCC Nominees Limited through which their shares are held for necessary arrangements.

Registered Holders and Non Registered Holders may at any time change their choice of language or means of receipt of Corporate Communications and Actionable Corporate Communications by giving written notice to COUNTRY GARDEN’s share registrar (see the section headed “Election of Language and Means of Receipt of Corporate Communications and Actionable Corporate Communications” below for details). 

Securities holders who have any queries in relation to election of language and means of receipt of Corporate Communications and Actionable Corporate Communications may call the enquiry hotline of COUNTRY GARDEN’s share registrar at (852) 2980 1333 during business hours (from 9:00 am to 5:30 pm, Monday to Friday, excluding Hong Kong public holidays). 

ELECTION OF LANGUAGE AND MEANS OF RECEIPT OF CORPORATE COMMUNICATIONS AND ACTIONABLE CORPORATE COMMUNICATIONS

Upon publication of Corporate Communication(s) by COUNTRY GARDEN on its company website, a Registered Holder/ Non Registered Holder, who wishes to receive the relevant Corporate Communication(s) in printed form or in a language version other than his/her existing choice, may complete and submit the relevant Request Form (see below) to COUNTRY GARDEN 's share registrar by post to 17/F, Far East Finance Centre, 16 Harcourt Road, Hong Kong, or by email to 2007-ecom@vistra.com.  

A Registered Holder or a Non Registered Holder who has liaised with his/her intermediary or HKSCC Nominees Limited through which his/her shares are held for necessary arrangements, may from time to time change his/her choice of language or means of receiving Corporate Communications and Actionable Corporate Communications with not less than seven days’ notice in writing to COUNTRY GARDEN's share registrar by completing and submitting the relevant Request Form (see below) by post to the above address, or by email to 2007-ecom@vistra.com.  The change request will apply to the next and subsequent Corporate Communications or Actionable Corporate Communications issued by COUNTRY GARDEN.

A securities holder’s request for the printed copy of future Corporate Communications and Actionable Corporate Communications issued by COUNTRY GARDEN will remain valid until the instruction has been revoked or superseded or until the time when COUNTRY GARDEN publishes its next annual report after the date of the request (whichever is earlier).  If a securities holder wishes to continue receiving printed copies of future Corporate Communications and Actionable Corporate Communications, he/she/it should complete and submit a new Request Form to COUNTRY GARDEN’s share registrar.
